Terms and Conditions for eschoolr

1. Introduction and Acceptance of Terms

Welcome to eschoolr ("the Platform"), a Software-as-a-Service (SaaS) school management system provided and operated by South Safari ("we," "us," or "our").

These Terms and Conditions ("Terms") govern the access to and use of our Platform, including our website, associated mobile applications, and any related services (collectively, the "Service").

By accessing or using our Service, you, whether as a guest, a registered school ("Client"), or an individual user authorized by a Client (such as an administrator, teacher, parent, or student, collectively "End Users"), agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Service.

If you are a school or institution entering into these Terms on behalf of your employees and students, you represent that you have the authority to bind the institution and its users to these Terms.

2. Description of Service

The eschoolr Platform is a multi-tenant school management system designed to provide educational institutions with a comprehensive suite of tools for managing administrative, academic, and financial operations. The Service includes features for student information management, academic scheduling, fee collection, staff management, parent-teacher communication, and more, accessible via a web portal and dedicated mobile applications.

3. User Roles and Responsibilities

a. South Safari (Platform Provider):

  • We are responsible for providing the Service as described, maintaining the platform's infrastructure, and providing technical support to our Clients (the schools).

  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.

b. The School (Client):

  • The Client is the educational institution that subscribes to the Service.

  • The Client is responsible for the accuracy and legality of all data they upload to the Platform, including student, parent, and staff information.

  • The Client is responsible for managing its End Users' access to the Service and ensuring their compliance with these Terms.

  • The Client agrees to obtain all necessary consents, particularly parental consent as required by the Protection of Personal Information Act (POPIA) or other applicable laws, before providing us with personal information about children.

c. End Users (Administrators, Teachers, Parents, Students):

  • End Users are granted access to the Service by a Client.

  • You agree to use the Service responsibly and only for its intended educational and administrative purposes.

  • You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must notify your school administrator immediately of any unauthorized use of your account.

4. Account Registration and Subscriptions

a. Registration: To use the Service, a school must subscribe and create an account. The school must provide accurate, current, and complete information during the registration process.

b. Subscription Plans & Fees: The Service is provided on a subscription basis. Clients will select a subscription plan and pay the applicable fees as detailed on our pricing page or in a separate agreement. Fees are billed in advance on a recurring basis (e.g., monthly or annually).

c. Payment: All fees are due as specified in the invoice. We use third-party payment processors (e.g., Stripe, Razorpay) to handle transactions. We are not responsible for any errors by the payment processor.

d. Renewal and Cancellation: Subscriptions will automatically renew for the same period unless the Client cancels the subscription before the renewal date. The Client can cancel their subscription through their account dashboard. No refunds will be provided for partial subscription periods.

5. Acceptable Use Policy

All users agree not to use the Service to:

  • Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.

  • Violate the privacy rights of others or collect personal information without proper consent.

  • Infringe upon the intellectual property rights of South Safari or any third party.

  • Introduce viruses, malware, or any other malicious code.

  • Attempt to gain unauthorized access to the Platform, other users' accounts, or our computer systems.

  • Interfere with or disrupt the integrity or performance of the Service.

6. Intellectual Property Rights

a. Our Intellectual Property: The Service, including its underlying software, source code, logos, branding, and all content provided by us, is the exclusive property of South Safari and its licensors. These Terms do not grant you any right, title, or interest in the Service, other than the limited right to use it in accordance with these Terms.

b. Your Content: The Client (and its End Users) retain all ownership rights to the data and content they upload to the Platform ("Client Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the Client Content solely for the purpose of providing and improving the Service.

7. Termination

a. Termination by Client: A Client may terminate their subscription at any time by following the cancellation procedures. Termination will be effective at the end of the current billing cycle.

b. Termination by Us: We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if you:

  • Breach these Terms.

  • Fail to pay subscription fees on time.

  • Engage in conduct that we deem harmful to the Platform or other users.

Upon termination, your right to use the Service will immediately cease, and we may, at our discretion, delete your account and all associated Client Content.

8. Disclaimers and Limitation of Liability

a. Disclaimer of Warranties: The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

b. Limitation of Liability: To the fullest extent permitted by law, in no event will South Safari, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any and all claims arising from the use of the Service is limited to the amount of fees paid by the Client to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless South Safari and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

Any dispute arising from these Terms or the use of the Service shall be resolved through amicable negotiation. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Pretoria, Gauteng, South Africa.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
